Terms and Conditions of Delivery

Updated on 21 March 2026

These terms and conditions of delivery apply to the BuildStat software service provided by Vertia Oy (the “Supplier”), as well as the associated sensors and installation services. By ordering the service, the customer (“Customer”) accepts these terms and conditions.

1. Description of the service

BuildStat is software delivered as a cloud-based service (SaaS) for monitoring conditions on construction sites. IoT sensors can be connected to the service; these are leased or sold to the Customer by the Supplier in accordance with these terms and conditions.

2. Formation of the contract

The contract comes into effect once the Supplier has confirmed the Customer’s order in writing (an email is sufficient). The Supplier is entitled to reject the order for a valid reason.

3. Prices and payment terms

  • Prices are in accordance with the current price list and are quoted exclusive of VAT (VAT 0%).
  • The current rate of value-added tax is added to all prices.
  • The payment terms are 14 days net from the invoice date.
  • Interest on late payments is charged in accordance with the Interest Act.
  • The supplier is entitled to change prices by giving at least 30 days’ notice of the change.

3.1 Sensor packages (monthly billing)

Sensor packages billed monthly are invoiced in advance each month. The minimum charge is €150 per month. Billing begins on the date the sensors are delivered.

3.2 Sensor packages (annual billing)

Packages billed annually are invoiced in advance each year. The annual price is equivalent to 11 months’ monthly fee. The minimum charge is €500 per year.

3.3 Construction contract

Monthly subscriptions for construction companies are invoiced on a monthly basis, on a project-by-project basis. The project fee is €190 per month per active construction project, to which sensor-specific monthly fees are added.

4. Delivery

  • The sensors will be delivered to the delivery address specified by the Customer.
  • Delivery charges are €50 per consignment.
  • Delivery usually takes 3–5 working days from the date of order confirmation.
  • The supplier shall not be liable for any delay in delivery caused by force majeure.

5. Installation

  • The customer can order the installation of the sensors separately. The installation work costs €85 per hour.
  • The price includes travel and preparation time.
  • The installation time will be agreed separately with the Client.

6. Ownership and return of sensors

6.1 Rental sensors (monthly and construction company orders)

The rental sensors remain the property of the Supplier. The Customer undertakes to return the sensors upon termination of the contract or at the Supplier’s request. The Customer will be invoiced for any lost or damaged sensors at replacement cost.

This applies to all subscription models — including packages invoiced annually. The sensors remain the property of the Supplier at all times, and title to them is not transferred to the Subscriber.

7. Term and termination of the agreement

7.1 Monthly subscriptions

A monthly subscription is valid until further notice and may be terminated in writing before the start of the next billing period. Termination requires the return of the rented sensors to the Supplier. Invoicing ceases once the sensors have been returned. The Supplier may also terminate the contract and collect the sensors. Collection will be invoiced in accordance with the current installation price list (€85 per hour).

7.2 Annual subscriptions

An annual subscription is valid for 12 months at a time. The contract is automatically renewed unless notice of termination is given in writing at least 30 days before the end of the contract period.

8. Service level

The Provider endeavours to keep the service available 24/7. The Provider does not guarantee uninterrupted service. Scheduled maintenance breaks will be announced in advance. The Supplier shall not be liable for any disruptions caused by internet connections or third-party services.

9. Limitation of liability

  • The supplier shall not be liable for consequential damages (e.g. interruption of production, loss of profit).
  • The Supplier’s total liability is limited to the service charges paid by the Customer over the last 12 months.
  • The forecasts and calculations provided by the BuildStat service (e.g. concrete drying forecasts) are estimates and are not a substitute for measurements or assessments carried out by a professional.

10. Data Protection

The processing of personal data is described in a separate in the privacy policy. Sensor data from the construction site is treated as confidential and will not be disclosed to third parties without the Client’s consent.

11. Intellectual property rights

All rights to the BuildStat software, its source code, documentation and trademarks are reserved by the Supplier. The Customer is granted a limited right to use the service for the duration of the contract.

12. Force majeure

Neither party shall be liable for any delays or damage resulting from force majeure, such as a natural disaster, war, an order by the authorities or any other circumstance beyond the party’s control.

13. Governing law and dispute resolution

This agreement is governed by Finnish law. Any disputes shall be resolved through negotiation. If no agreement can be reached, the dispute shall be settled at the Helsinki District Court.
